The role

As a Corporate and M&A legal counsel in Legora’s Stockholm office, you will play a central role in supporting one of the fastest-growing legal technology companies globally. You will work closely with our leadership and corporate development teams, advising on a broad range of matters spanning mergers and acquisitions, corporate transactions, financing, and day-to-day corporate legal matters.

This role requires a high degree of independence and the ability to operate across multiple time zones, partnering closely with senior stakeholders to execute transactions and support corporate operations while managing complex legal and commercial risk. You will report to the General Counsel, based at our Stockholm headquarters.

We act as trusted partners to the business, with particular focus on product development, operations, and commercial initiatives. What you will be doing

  • Act as a strategic legal partner to the business, working closely with senior stakeholders in Corporate Development, Finance, and Leadership on M&A transactions, investments, financings, and corporate restructurings.

  • Draft, review, and negotiate transaction documents with a focus on closing deals efficiently and pragmatically.

  • Manage end-to-end due diligence processes, coordinating across workstreams and jurisdictions to identify, assess, and advise on legal risks material to transactions.

  • Advise on deal structuring, risk allocation, representations and warranties, indemnification frameworks, and post-closing mechanisms such as earn-outs and completion accounts.

  • Handle the incorporation and establishment of new entities across relevant jurisdictions, including drafting constitutional documents, coordinating with local counsel, and managing filing requirements.

  • Maintain and manage the company's corporate books and records, including board and shareholder resolutions, statutory registers, cap table management, and regulatory filings to ensure ongoing corporate compliance.

  • Support corporate governance matters, including board resolutions, corporate housekeeping, and regulatory filings arising in connection with transactions and ongoing corporate activity.

  • Develop and maintain templates, playbooks, and corporate governance frameworks to standardise processes and improve efficiency across transactions and corporate matters.

Who you are

  • Law degree (LL.M. or equivalent) from Sweden, the UK, or an EU-jurisdiction, qualified to practice in that country.

  • 6-10 years of experience at a top-tier law firm and/or as an in-house legal counsel.

  • Proficiency in both spoken and written Swedish and English. Additional language skills are meritorious.

  • Strong experience leading due diligence processes and drafting and negotiating transaction and financing documents across buy-side and sell-side mandates. You are an excellent negotiator with sound commercial instincts.

  • Solid grounding in corporate law, including entity formation, corporate governance, and corporate recordkeeping across one or more relevant jurisdictions.

  • Strong legal judgment and confidence in making decisions independently in a fast-moving transaction environment.

  • Experience handling cross-border transactions and navigating multi-jurisdictional legal considerations is meritorious.

  • Experience with regulatory matters, including competition law, foreign investment review, or financial regulation relevant to M&A and financing, is meritorious.

  • Your focus is on achieving meaningful business outcomes, translating complex legal issues into clear, actionable advice delivered at pace.

  • You thrive in a fast-paced, dynamic, entrepreneurial environment and are comfortable managing multiple live transactions and corporate matters simultaneously across different time zones.

  • You take initiative and are committed to delivering high-quality results, even under tight deal timelines.
