Transactions & M&A Due Diligence Manager

The Transactions & M&A Due Diligence Senior Consultant should lead ESG, EHS and sustainable finance due diligence assignments across mergers, acquisitions, divestments, refinancing and capital market transactions. The role supports investors, corporates, lenders and financial institutions by identifying value‑relevant ESG & EHS risks and opportunities, assessing regulatory and climate exposure, and translating sustainability insights into transaction‑ready decision‑making.

Key Responsibilities

• Lead ESG/EHS due diligence for acquisitions, divestments and financing operations.
• Define scope and workplans aligned with transaction timelines and investor requirements.
• Coordinate with financial, legal, technical and commercial due diligence teams.
• Identify ESG/EHS risks and opportunities with direct relevance to value, pricing and risk allocation.
• Integrate ESG/EHS findings into deal structuring, financing conditions and contractual protections.
• Support green, social and sustainability‑linked finance transactions.
• Assess alignment with EU Taxonomy, SFDR and investor or lender ESG/EHS criteria
• Act as senior ESG/EHS due diligence lead for investors and corporate clients.
• Support business development and transaction pitches.
• Monitor regulatory and market trends affecting ESG/EHS expectations in transactions.
• Maintain technical, financial and contractual control of due diligence engagements.
• Ensure delivery of decision‑oriented, time‑critical outputs under transaction pressure.
• Lead and develop ESG/EHS due diligence teams.
• Ensure consistency of methodologies and knowledge transfer across transactions.

Skills, Knowledge & Expertise

  • Minimum 6–8 years’ experience in ESG, EHS or sustainability due diligence within M&A, transaction advisory or professional services, with direct exposure to private equity, infrastructure, corporate M&A or financial institutions.
  • ESG/EHS Due Diligence methodologies.
  • Climate risk assessment in transactions.
  • EU Taxonomy, SFDR and CSRD implications for deals.
  • Green, social and sustainability‑linked finance frameworks knowledge.
  • Core competencies include transactional mindset, analytical synthesis, commercial acumen, and client‑facing communication under tight timelines.
  • Leadership competencies include decision‑making under uncertainty, managing high‑pressure teams, and stakeholder engagement with senior investors and advisers.
